Our Condominium Association, Covered Bridge at Barnes Mill Condominium Association, Inc., is a non-profit corporation under Georgia law. Its board of directors is obligated to carry out its duties in good faith, in a manner that the board members reasonably believe to be in the best interest of the association. The board members have an obligation to abide by the association’s governing documents when carrying out their duties, but their purpose should be to maintain, protect, and enhance the value of the units in the association.

Q: When and how are board members elected and how long do they serve?
A: Board members are elected at the annual HOA meeting in January. Terms are for two year. Officers are eligible to serve three consecutive terms.
Q: What is the nomination process?
A: If a homeowner is interested in running for office, he or she should notify the board that they are seeking office. The potential candidate should show grounds in written form of their qualifications as well as providing biographical information. The board will then provide that information to all homeowners so that homeowners can make an informed decision. Elections are held during the Annual HOA meeting, wherein candidates may be nominated from the floor. Each candidate is asked to verbally provide an account of qualifications and reasons for running to the attendees at the annual HOA meeting.
Q: How can I vote in absentia?
A: If a homeowner is not available to attend the annual HOA meeting in January, he or she can vote by proxy, by giving his or her proxy vote to a Board member or others that the Board may designate.

Q: By what day of the month should fees be paid? Is there a late penalty?
A: HOA fees are due by the first day of the month.
Payments received after the 10th of the month are considered Past Due, and a penalty of $30 is charged to the homeowner. Notices are sent to the homeowner(s) advising them of the past due status.

President: Also known as the chief executive officer (CEO) of the association, the president’s job is to prepare the agenda for each meeting and to preside over all association and board meetings. In addition, the president usually is granted the power to manage the daily affairs of the association and to approve and enter into agreements on the association’s behalf. In this role, the president is usually the liaison between the board of directors and any property managers retained by the association. Typically, a Condominium Association also has various committees (e.g. architectural review, landscaping, and communications) that assist in the operation of the association, and the president and Board appoints and oversees the committee chairs. The president also trains and prepares other directors for future leadership roles.
Vice President: The vice president’s role is to assist the president with all duties, and to assume those duties in the president’s absence or if the president is unable to act. The vice president may also be the chair for one or more of the association’s committees or coordinate the committees if the president turns this task over to the vice president. If the vice president coordinates the committees, that officer should lead efforts to maintain relevant information and records on committee work, assist with a committee’s achievement of its goals, relay committee accomplishments to the board, and recruit new committee members as necessary.
Secretary: The secretary is responsible for delivering or posting notices of regular and special meetings, taking meeting minutes, and keeping track of time during meetings. The secretary also certifies all meeting notices and voting results and maintains proxies and association members’ voting authorizations. In addition, the secretary is responsible for maintaining the association’s corporate record book, which should include all meeting minutes and resolutions. Lastly, the secretary acts as the official line of communication with association members and, when necessary, is called upon to attest to the authenticity of the association’s corporate documents.
Treasurer: The treasurer is akin to the chief financial officer (CFO) for the association. The treasurer reviews and monitors financial statements and approves and monitors investments in accordance with the board’s policies. In addition, the treasurer reports on budgetary and financial matters at each board meeting. The treasurer also oversees the collection and expenditure of assessments.

A Condominium Declaration, also known as a Master Deed, is a fundamental document that establishes the existence of and further governs the use and maintenance of a condominium property. It is regulated by the Condominium Act, and it includes legal descriptions of the condominium and of each individual unit, the nature and scope of the development project (when applicable), and several provisions regarding the use of the condominium units and common areas.
Declarations are written by a builder or a developer’s legal firm. Therefore, it is this building company that decides what will be an exclusive-use common element versus what is owned by the unit. When a unit is resold, declarations are contained in the status certificate given to prospective or new owners.
Condominium Bylaws (Exhibit D in the Declaration) establish the responsibilities of the owners' association; the voting procedures to be used at association meetings; the qualifications, powers, and duties of the board of directors; the powers and duties of the officers; and the obligations of the owners with regard to assessments, maintenance, and use of the units and common areas. Finally, a set of Rules and Regulations providing specific details of restrictions on conduct of unit owners and residents are established by the HOA.
